About CECL

The Centre for European Company Law was established in 2004 as an academic partnership between the Dutch universities of Leiden, Utrecht and Maastricht. The purpose of CECL is to promote the study and further development of company law by focusing on supranational issues. These include both developments in the EU and on other international levels, as well as comparative law. Leiden University acts as the leading partner in CECL, with Professor Dr. Steef M. Bartman, head of the corporate law department of the same University, as co-ordinating director. The main activities of CECL are the publication of the bi-monthly legal periodical ECL (European Company Law, see Kluwer Law Online), the development of a series of books (European Company Law Series, also published by Kluwer Law International) and bringing together scholars in this field through conferences at two-year intervals (see Conferences).

EUROPEAN COMPANY LAW (ECL)

The increase in cross-border corporate activity, together with the continuing expansion of the European Union, has meant that developments in European company and securities law continue to pose a challenge to law firms and corporations. European Company Law (ECL) gives an overview of current developments in this dynamic and rapidly-changing area of law practice.

This legal periodical is published by Kluwer Law International under the aegis of CECL and appears in six issues per year. ECL aims to be particularly interesting for practising lawyers in the field of European company law. IT HAS BEEN DESIGNED TO BE THE IDEAL WORKING TOOL FOR ALL CORPORATE LAWYERS WITH A EUROPEAN PRACTICE.

ECL offers:

Authoritative articles which analyze the latest issues affecting European company and securities law. They give insight and understanding of existing and forthcoming EC Regulations, Directives and other EC initiatives and developments. They also compare and contrast practice in other European Member States and EU related countries in order to give a complete overview.

Country Status Reports that highlight recent and forthcoming developments in various EU-jurisdictions, including those of Eastern Europe such as Poland and the Czech Republic.

A survey of recent EU Legislation and ECJ Case Law, forming a perfect tool to keep you up-to-date on any recent and forthcoming developments.

 

A time saving round-up of relevant articles published in other leading national journals on company law.

Twice a year ECL focuses on a special topic such as securities law, directors’ remuneration, corporate governance and aggressive shareholders. These issues contain in-depth reports on the main elements of the issue’s theme as well as Country status reports so as to give insight into the differences between national legal systems in major European jurisdictions.

CONTRIBUTIONS

ECL’s Editorial Board has a thorough understanding of the needs of the legal practitioner. Consequently, all articles have been written to follow the SCIP principle: Scientific, Concise, Informative and Practical. ECL’s editorial board invites all readers to send in (proposals for) contributions written in accordance with this principle. Contributions may deal with European company law in a broad sense, including such topics as co-determination law, insovency law and securities law. They should have a range of approximately 4,000 to 5,000 words (footnotes excluded), and should be sent to both ECL’s main editor (s.m.bartman@law.leidenuniv.nl) and to its editorial secretary (c.degroot@law.leidenuniv.nl).

At the author’s request contributions be peer reviewed by at least two members of ECL’s editorial board. Publication is subject to authors signing a “Consent to Publish & Transfer of Copyright” form on behalf of Kluwer Law International.
